9187669 Canada Inc. Completes Acquisition of Hartco Inc.
(firmenpresse) - MONTREAL, QUEBEC -- (Marketwired) -- 06/30/15 -- 9187669 Canada Inc. announces that it has completed the acquisition of 100% of Hartco Inc. (TSX: HCI). 9187669 Canada Inc. is a wholly-owned subsidiary of H&N Family Subco Inc., a company indirectly owned by Mr. Harry Hart and members of his immediate family.
To complete the acquisition, 9187669 Canada Inc. today acquired ownership of 469,064 shares, representing 3.41% of Hartco''s issued and outstanding shares, at a price of $3.40 per share, for total consideration of $1,594,817.60, under the compulsory acquisition provision of the Canada Business Corporations Act.
Following the acquisition of the 469,064 shares, 9187669 Canada Inc. now beneficially owns and exercises control and direction over all of Hartco''s 13,747,104 issued and outstanding common shares.
The compulsory acquisition followed the previously-announced offer dated April 23, 2015 by 9187669 Canada Inc. to acquire all of the issued and outstanding common shares of Hartco, excluding any shares held by 9187669 Canada Inc. or its affiliates.
