Atlas Mara Co-Nvest Limited Mandatory Offer for Remaining 4.2% of ABC Holdings
(firmenpresse) - TORTOLA, BRITISH VIRGIN ISLANDS -- (Marketwired) -- 09/22/14 -- As previously announced on 21 August 2014, Atlas Mara Co-Nvest Limited ("" or the "") owns and controls 95.84% of the issued ordinary share capital of ABC Holdings Limited ("") and today announces its intention to make an offer to all remaining holders of ordinary shares in ABCH (the ""). This intention is in line with Atlas Mara''s previous communications to the market.
The consideration to be offered to the Minority Shareholders will be cash or an equivalent value of Atlas Mara ordinary shares. A cash amount of BWP 7.49 (equivalent of US$ 0.82 as at 15 September 2014) will be offered for each ABCH share listed on the BSE and US$ 0.82 for each ABCH share listed on the ZSE. Any Minority Shareholders opting to receive Atlas Mara ordinary shares will receive 0.0683 ordinary shares for each ABCH share held.
Atlas Mara expects that the offer will commence on 24 September 2014.
