Acquisition of Common Shares of Cyberplex Inc.
(firmenpresse) - TORONTO, ONTARIO -- (Marketwire) -- 12/10/12 -- On December 10, 2012, Difference Capital Funding Inc. (TSX VENTURE: DCF) (the, "Offeror") acquired 2,611,000 common shares ("Shares") of Cyberplex Inc. (the, "Issuer"), at an average price of $0.0741 per Share, representing approximately 2.06% of the total issued and outstanding Shares of the Issuer. The Offeror has aggregate ownership of 15,231,000 Shares, representing 12.01% of the outstanding Shares.
Michael Wekerle (the "Associate"), an associate of the Offeror, previously owned 10,000,000 Shares of the Issuer, representing approximately 7.88% of the outstanding Shares.
Pursuant to applicable securities laws, the Offeror and the Associate are presumed to be acting jointly or in concert with regard to their respective ownership of Shares of the Issuer. The Offeror and the Associate together have ownership and control over 25,231,000 Shares, representing approximately 19.89% of the outstanding Shares.
The Offeror acquired the Shares for investment purposes only. The Offeror and/or the Associate may in the future take such actions in respect of their respective holdings as deemed appropriate in light of the circumstances then existing, including the purchase of additional Shares or other securities of the Issuer through open market purchases or privately negotiated transactions, or the sale of all or a portion of his holdings in the open market or in privately negotiated transactions to one or more purchasers.
