AMG subsidiary Timminco confirms C$25 million debt financing from Investissement Quebec
(Thomson Reuters ONE) - Amsterdam,13 July 2009 --- AMG Advanced Metallurgical Group N.V.'s("AMG", EURONEXT AMSTERDAM: "AMG") 52.2% owned subsidiary, TimmincoLimited ("Timminco" or the "Company") (TSX:TIM) announced that,further to its announcement on July 7, Timminco's wholly-ownedsubsidiary Becancour Silicon Inc. has signed a definitive loanagreement with Investissement Quebec providing for a two-year termloan of C$25.0 million. This loan, which is being provided under theRenfort program, is expected to be disbursed in full within the nextfew days upon completion of the transaction. The funds will be usedfor general working capital purposes.The loan will be interest-bearing at a variable rate of prime plus9%, which is currently 11.25% per annum. The loan agreement includescertain financial and other covenants in respect of BecancourSilicon, including a minimum working capital ratio and a maximumlong-term debt to equity ratio. The loan will also be secured by aTimminco guarantee and a charge upon Becancour Silicon's assets, andwill be subordinated to the existing revolving credit facilitiesprovided by Timminco's senior secured lender, Bank of America, N.A.About Investissement Quebec and the Renfort ProgramInvestissement Quebec's mission is to promote the growth ofinvestment in Quebec and thereby contribute to economic developmentand job creation.
