Affiliate of Leonardo Trust Announces Acquisition of Common Shares and Warrants of Forsys Metals Corp.
(firmenpresse) - DOUGLAS, ISLE OF MAN -- (Marketwired) -- 09/26/16 -- Leonardo Trust ("Leonardo") announced today that, on September 14, 2016, its wholly-owned subsidiary, Leonardo Global Trading Ltd., acquired 8,833,334 units ("Units") of Forsys Metals Corp. (the "Issuer") on a private placement basis for a price of $0.06 per Unit for total consideration of $530,000 (the "Private Placement"). Each Unit consists of one Class A Common Share (a "Common Share") and one half of one Common Share purchase warrant (a "Warrant") that entitles the holder to acquire a new Common Share in the Issuer at a price of $0.075 for a period of two years following the closing of the Private Placement.
Immediately before the Private Placement, Leonardo and its affiliates had ownership and control over 61,000,000 Common Shares and warrants to acquire 7,576,500 Common Shares of the Issuer. Assuming the exercise of the warrants held by Leonardo and its affiliates and no others, Leonardo and its affiliates had ownership and control over approximately 48.128% of the outstanding Common Shares on a partially diluted basis. Following the completion of the Private Placement, Leonardo and its affiliates have ownership and control over 69,833,334 Common Shares and warrants to acquire 11,993,167 Common Shares of the Issuer. Assuming the exercise of the warrants held by Leonardo and its affiliates and no others, Leonardo and its affiliates have ownership and control over approximately 51.820% of the outstanding Common Shares on a partially diluted basis.
Leonardo and its affiliates acquired the Units of the Issuer for investment purposes. Leonardo and its affiliates may in the future, subject to regulatory constraints, take such actions in respect of their holdings of securities of the Issuer as they may deem appropriate in light of the circumstances then existing, including the purchase of additional securities of the Issuer through open market purchases or privately negotiated transactions or the sale of all or a portion of their securities of the Issuer in the open market or in privately negotiated transactions to one or more purchasers.
