Fantasy Aces Daily Fantasy Sports Corp. Announces Share Consolidation
(firmenpresse) - ALISO VIEJO, CALIFORNIA -- (Marketwired) -- 06/16/16 -- Fantasy Aces Daily Fantasy Sports Corp. (the "Corporation" or "Fantasy Aces") (TSX VENTURE: FAS)(OTC PINK: FASDF) announces that it has completed a consolidation of its common shares on the basis of one (1) new post-consolidation common share for every five (5) pre-consolidated common shares. Fantasy Aces'' common shares are expected to begin trading on a post-consolidation basis on the TSX Venture Exchange ("TSXV") when markets open on Tuesday, June 21, 2016.
The Corporation agreed to complete the consolidation as it was a condition to the TSXV''s acceptance of the shares for debt private placement of the Corporation that closed on May 11, 2016. The 210,022,714 common shares of the Corporation outstanding will be reduced to approximately 42,004,542 common shares. No fractional shares will be issued. Any fractions of a share will be rounded to the nearest whole number of common shares. The Corporation''s name and trading symbol will remain unchanged.
Letters of transmittal with respect to the consolidation will be mailed to all registered shareholders of the Corporation. The letter of transmittal will request that shareholders send their pre-consolidated common share certificates together with the duly executed letter of transmittal to the Corporation''s transfer agent, Computershare Trust Company of Canada, to receive post-consolidation common share certificates.
