Gold-Finance (Canada) Asset Management Limited Acquires Shares and Warrants of D-BOX Technologies Inc.
(firmenpresse) - MONTREAL, QUEBEC -- (Marketwired) -- 12/18/15 -- Gold-Finance (Canada) Asset Management Limited ("Gold-Finance Canada") announces that it has purchased 11,111,111 units of D-Box Technologies Inc. ("D-Box") (TSX: DBO) at a price of $0.45 per unit by way of private placement, for total proceeds of $4,999,999.95. Each unit is comprised of one common share of D-Box and three-quarters of a common share purchase warrant. Each whole common share purchase warrant entitles the holder to acquire one additional common share of D-Box at a price of $0.60 until June 18, 2017.
Immediately following the closing of the private placement, Gold-Finance Canada directly and indirectly owns the following D-Box securities: (i) 11,111,111 common shares, representing approximately 6.35% of the issued and outstanding common shares of D-Box, and (ii) common share purchase warrants entitling Gold-Finance Canada to purchase up to 8,333,333 common shares of D-Box. Assuming the exercise of all warrants held by Gold-Finance Canada, it would own 19,444,444 common shares, representing 10.61% of the D-Box common shares that would then be issued and outstanding.
The private placement is a private transaction that did not take place on any market or exchange.
Gold-Finance Canada acquired the D-Box common shares and common share purchase warrants in the private placement for investment purposes, and in accordance with applicable securities laws, Gold-Finance Canada may, from time to time and at any time, acquire additional common shares of D-Box and/or other equity, debt or other securities or instruments (collectively "Securities") of D-Box in the open market or otherwise, and it reserves the right to dispose of any or all of its Securities in the open market or otherwise at any time and from time to time, and to engage in similar transactions with respect to the Securities, the whole depending on market conditions, the business and prospects of D-Box and other relevant factors.
