Zaff LP: Announcement
(firmenpresse) - TORONTO, ONTARIO -- (Marketwired) -- 10/22/15 -- Zaff LP ("Zaff"), a Cayman Island limited partnership, announced today that, pursuant to an agreement between Zaff and Alpha Infrastructure LLC ("Alpha"), it has acquired direct ownership and control over 59,874,312 common shares (the "Acquired Shares") and $1,550,000 principal amount of promissory notes (the "Notes") of GB Minerals Ltd. ("GB Minerals") (the "Acquisition"). Prior to the Acquisition, Zaff did not have control, directly or indirectly, of any securities in the capital of GB Minerals. In exchange for the Acquired Shares and Notes, Alpha earned a 100% interest in the Class A units of Zaff, being the only issued voting capital of Zaff.
Following completion of the Acquisition, Zaff''s ownership of the Acquired Shares and the Notes resulted in Zaff having control over 59,874,312 Common Shares of GB Minerals representing 23.7% of GB Mineral''s issued and outstanding share capital.
The Acquired Shares and Notes were acquired by the Company for investment purposes. Zaff may from time to time, increase or decrease its ownership of securities of GB Minerals depending upon future market conditions.
