NWM Mining Corporation Completes Arrangement
(firmenpresse) - TORONTO, ONTARIO -- (Marketwired) -- 09/30/15 -- NWM Mining Corporation ("NWM" or the "Company") (TSX VENTURE: NWM), GFM Mineria, S.A.P.I. de C.V. ("GFMM"), and SFM Holding, S.A.P.I. de C.V. ("SFM") announce today that the previously announced plan of arrangement (the "Arrangement") among NWM, GFM, SFM, and the Company''s lender, Global Resource Fund ("Global") has been completed. As previously announced, orders were received from the Ontario Superior Court of Justice (Commercial List) approving the Arrangement and NWM shareholders overwhelmingly voted in favour of the Arrangement. Under the Arrangement, NWM shareholders will receive Cdn$0.005 in cash for each NWM common share held.
GFMM now owns 554,101,777 common shares of NWM, representing all of the issued and outstanding common shares. An application has been made to the TSX-V to delist the NWM common shares, which is expected to occur at the close of trading on October 1, 2015.
If you are a holder of NWM common shares and your shares are registered in the name of a broker, investment dealer, bank, trust company or other nominee, contact that entity for instructions and assistance in delivering your shares and receiving sale proceeds.
