Robert J. Morrison Buys Shares of Loyalist Group Limited

Morrison, of Toronto, Ontario, as required by National Instrument 62-103 - The Early Warning System and Related Take-Over Bid and Insider Reporting Issues in connection with the filing of an early warning report (the "Early Warning Report") regarding the acquisition of securities of Loyalist Group Limited ("Loyalist") (TSX VENTURE: LOY). On August 21, 2015, Mr. Morrison purchased 2,240,000 common shares of Loyalist, representing approximately 1.25% of such shares outstanding. These purchases were made on the TSX Venture Exchange at a price of $0.07 per share.
Before these purchases, Mr. Morrison owned 17,813,000 common shares of Loyalist, or 9.94% of such shares outstanding. Following these transactions, Mr. Morrison now owns 20,053,000 common shares of Loyalist, representing approximately 11.19% of such shares outstanding. Mr. Morrison also jointly controls (but does not own) an additional 100,000 common shares of Loyalist, representing approximately 0.056% of such shares outstanding.
These transactions were made for investment purposes and Mr. Morrison could increase or decrease his investments in Loyalist depending on market conditions or any other relevant factor. Mr. Morrison may acquire additional shares of Loyalist through the open market, privately or otherwise, as the circumstances or market conditions warrant.
