Beedie Investments Ltd. Files Early Warning Report
(firmenpresse) - BURNABY, BRITISH COLUMBIA -- (Marketwired) -- 08/12/15 -- Beedie Investments Ltd. ("Beedie") announces that since June 24, 2015, being the last date on which Beedie filed an early warning report pursuant to National Instrument 62-103, Beedie acquired ownership and control of 2,556,466 common shares (the "Shares") of Atlantic Gold Corporation ("Atlantic") representing approximately 2.21% of the issued and outstanding common shares of Atlantic through a series of acquisitions. 624,020 of the Shares acquired were acquired by way of market transfer over the TSX Venture Exchange (TSXV), whereas 1,932,446 of the Shares were acquired by way of an off market transfer executed pursuant to the terms of a share purchase agreement dated July 8, 2015 between Beedie and a third party for consideration of $0.265 per common share. The average consideration paid for all Shares acquired was CAD$0.266 per Share.
The 1,932,446 common shares acquired by way of off market transfer bear a restrictive legend stating that "Unless permitted under securities legislation, the holder of this security must not trade the security before November 9, 2015".
The aggregate number of common shares of Atlantic which are owned or controlled, directly or indirectly, by Beedie immediately after the above noted acquisitions was 17,443,848 shares, which represents 15.10% of the issued and outstanding common shares of Atlantic.
Beedie is wholly owned by Mr. Ryan Beedie.
Beedie acquired the Shares for investment purposes, and it intends to evaluate its investment in Atlantic and to increase or decrease its securityholdings as it may determine for investment purposes.
