CSE: 2015-0512 - Delist - Agrimarine Holdings Inc. (FSH)
(firmenpresse) - TORONTO, ONTARIO -- (Marketwired) -- 05/22/15 -- The Company has announced its going private transaction by way of an amalgamation (the "Amalgamation") of the Company with a wholly-owned subsidiary of Dundee Agricultural Corporation ("DAC"). Upon completion of the Amalgamation, the amalgamated company will operated as a private company, wholly-owned by DAC and its parent company, Dundee Corporation. The Amalgamation has been approved by the shareholders of the Company at a shareholders'' meeting held on May 19, 2015. The closing of the Amalgamation is expected to be effective on May 21, 2015.
In accordance with the guidelines set out in the CSE Policy 3, section 4.2, the Company hereby wishes to make a voluntary application for delisting from trading of the Company''s common shares on the CSE to be effective upon completion of the Amalgamation.
