Avery International Limited Files Early Warning Report
(firmenpresse) - MAJURO, MARSHALL ISLANDS -- (Marketwired) -- 05/05/15 -- Avery International Limited ("Avery") announces that it acquired on November 19, 2014 ownership and control of 8,290,360 common shares (the "Shares") and 4,145,180 warrants (the "Warrants") of Atlantic Gold Corporation (the "Atlantic") by way of non-market transfer over the Australian Securities Exchange (ASX) at a Canadian dollar equivalent price of $0.02375 per Unit (at an exchange rate of $1.00 AUD = $0.95 CAD). Each Unit is comprised one Share and one-half of a Warrant. Each Warrant entitles the holder to purchase one common share of Atlantic at an exercise price of C$0.60 at any time up to 5:00 pm (Vancouver time) on August 20, 2018.
Avery is wholly owned by Mr. Lim Kuan Yew.
The aggregate of 8,290,360 Shares and 4,145,180 Warrants acquired by Avery represents 10.565% of the Atlantic''s issued and outstanding common shares, calculated on a partially-diluted basis assuming the exercise of Avery''s Warrants.
Avery acquired the Shares and Warrants for investment purposes, and it intend to evaluate the investment in Atlantic and to increase or decrease its securityholdings as its may determine for investment purposes.
