Early Warning Report Filed Pursuant to National Instrument 62-103

Friedland, pursuant to the early warning requirements of applicable securities legislation and National Instrument 62-103 with respect to securities of Peregrine Diamonds Ltd. (the "Company").
On April 1, 2015, Newstar exercised 16,567,279 common share purchase warrants of the Company at an exercise price of Cdn$0.21 per warrant, resulting in the issuance to Newstar of 16,567,279 common shares of the Company. On April 2, 2015, Newstar purchased 8,893,495 listed common share purchase warrants of the Company through the Pure Trading platform of the Canadian Securities Exchange at a price of $0.005 per warrant, each such common share purchase warrant entitling the holder to purchase one common share of the Company for the price of Cdn$0.21 until April 6, 2015. On April 6, 2015, Newstar exercised the 8,893,495 common share purchase warrants at an exercise price of Cdn$0.21 per warrant, resulting in the issuance to Newstar of a further 8,893,495 common shares of the Company.
The transactions detailed above resulted in the issuance of 25,460,774 common shares of the Company to Newstar. As a result, Newstar has actual beneficial ownership of 68,727,195 common shares of the Company representing an actual beneficial ownership percentage of 24.31% of the Company''s issued and outstanding common shares.
Newstar acquired the 8,893,495 common share purchase warrants and exercised the aggregate amount of 25,460,774 common share purchase warrants for investment purposes. Depending on economic or market conditions or matters relating to the Company, Newstar may choose to either acquire additional common shares or dispose of common shares of the Company.
