Elizabeth Kenny Acquisition of Shares of Kraken Sonar Inc.
(firmenpresse) - TORONTO, ONTARIO -- (Marketwired) -- 02/20/15 -- In connection with the completion of Kraken Sonar Inc. ''s (formerly Anergy Capital Inc.) (the "Corporation") qualifying transaction (the "Qualifying Transaction") with Kraken Sonar Systems Inc. ("Kraken") in accordance with Policy 2.4 of the TSX Venture Exchange Corporate Finance Manual, Elizabeth Kenny (the "Offeror") acquired direct ownership and control over an aggregate of 15,747,500 common shares of the Corporation (the "Acquired Securities"), representing 22.19% of the Corporation''s issued and outstanding shares following the Qualifying Transaction. As a result of the Qualifying Transaction, the Offeror was issued the Acquired Securities in exchange for all the securities that she held in the capital of Kraken prior to the Qualifying Transaction.
Prior to the completion of the Qualifying Transaction, the Offeror did not hold any securities of the Corporation.
Following completion of the Qualifying Transaction, the Offeror beneficially owns and controls 15,747,500 common shares of the Corporation, representing 22.19% of the Corporation''s outstanding common shares (based on 70,957,103 common shares of the Corporation issued and outstanding on an undiluted basis as of February 18, 2015).
The Acquired Securities were acquired for investment purposes. The Offeror may from time to time acquire additional securities of the Corporation, dispose of some or all of the securities of the Corporation or maintain her current securities position in the Corporation.
