CHC Realty Capital Corp. Announces Effective Date for Name Change and Share Consolidation
(firmenpresse) - TORONTO, ONTARIO -- (Marketwired) -- 02/19/15 -- CHC Realty Capital Corp. ("CHC" or the "Company") (TSX VENTURE: CHC) wishes to announce that the name change and share consolidation approved by its shareholders on January 27, 2015 will become effective today. The Company has received final acceptance of the name change and share consolidation from the TSX Venture Exchange ("TSVX"), and the Company will file articles of amendment today to effect the name change and share consolidation. Pursuant to the name change, the Company''s name will be changed to "CHC Student Housing Corp.", and under the share consolidation, the Company''s common shares will be consolidated on the basis of one post-consolidation share for every 85 pre-consolidation shares.
As a result of the share consolidation, the number of issued and outstanding common shares of the Company will be reduced from 198,495,610 to 2,335,242, subject to adjustments from rounding. No fractional shares will be issued in connection with the share consolidation and, in the event that a shareholder would otherwise be entitled to receive a fractional share upon the share consolidation, such fraction will be rounded down to the nearest whole number. The post-consolidation shares are expected to begin trading on the TSXV at the opening of market on February 20, 2015, under the existing stock symbol "CHC". A new CUSIP number 12545Q109 has been obtained to replace the previous CUSIP number in order to distinguish the Company''s pre-consolidation shares from its post-consolidation shares.
In connection with the share consolidation, letters of transmittal have been mailed out to CHC''s registered shareholders by the Company''s transfer agent TMX Equity Transfer Services Inc., which letter of transmittal enables them to exchange their old share certificates representing pre-consolidation shares for new share certificates representing post-consolidation shares, in accordance with the instructions set forth in the letter of transmittal. Shareholders who hold their shares through a broker or other intermediary and do not have shares registered in their name will not need to complete a letter of transmittal as the exchange will be completed by their broker or intermediary.
