(firmenpresse) - ST. MICHAEL, BARBADOS -- (Marketwired) -- 01/21/15 -- This document corrects and replaces the Bobby Genovese release that was disseminated on January 20, 2015 at 16:35 ET. The corrected release follows:
Bobby Genovese (the "Filer") entered into an option agreement to acquire 6,000,000 common shares ("Common Shares") of STT Enviro Corp. ("STT Enviro"), representing 16.6% of the 36,190,523 issued and outstanding Common Shares of STT Enviro (the "Option"). The Option Agreement was entered into with two optionors for 3,500,000 and 2,500,000 Common Shares and each optionor received a payment of $25,000.00. The Filer may acquire all, but not less than all, of the 6,000,000 Common Shares until April 1, 2015. As a result, for the purposes of applicable Canadian securities laws, the Filer now has the option to acquire beneficial ownership of an aggregate of 6,000,000 Common Shares, which constitute approximately 16.6% of the Common Shares of STT Enviro, calculated in accordance with applicable Canadian securities laws.
The Option referred to in this release is held by BG Capital Group Ltd., which is controlled by the Filer.
The Option was acquired for $50,000.00 ($25,000.00 to each of the two optionors). The Common Shares can be acquired by the Filer for $0.20 per Common Share.
The securities are held by the Filer for investment purposes. The Filer intends to review its investment in STT Enviro on a continuing basis. Depending on various factors including, without limitation, STT Enviro''s financial position and prospects, the price levels of the securities of STT Enviro, conditions in the securities markets and general economic and industry conditions, the Filer''s business or financial condition and other factors and conditions the Filer deems appropriate, the Filer may in the future take such actions with respect to its investment in STT Enviro as the Filer deems appropriate including, without limitation, acquiring, selling or otherwise disposing of securities of STT Enviro. In addition, the Filer may formulate other purposes, plans or proposals regarding STT Enviro or any of its securities to the extent deemed advisable in light of general investment and trading policies, market conditions or other factors or may change its intention with respect to any and all matters referred to in this report.
