On November 4, 2014, the Company disclosed that the Securities and Exchange Commission has asked SandRidge to reassess how it accounts for penalties paid under an agreement with Occidental Petroleum Corp. As a result of this reassessment, SandRidge determined that its consolidated financial statements included in the Annual Reports on Form 10-K and Quarterly Reports on Form 10-Q filed for periods ending December 31, 2012, March 31, 2013, June 30, 2013, September 30, 2013, December 31, 2013, March 31, 2014, and June 30, 2014 can no longer be relied upon.
