Wangton Capital Corp. Announces Proposed Consolidation of Common Shares
(firmenpresse) - CALGARY, ALBERTA -- (Marketwired) -- 10/29/14 -- Wangton Capital Corp. (the "Corporation") (TSX VENTURE: WT.H), a capital pool company trading on the NEX board of the TSX Venture Exchange, announces that in order to allow maximum flexibility to structure and complete a Qualifying Transaction as defined in Policy 2.4 of the TSX Venture Exchange, the Corporation will be placing before its shareholders at its Annual and Special Meeting to be held November 26, 2014 (the "Meeting") a special resolution (the "Share Consolidation Resolution") authorizing the Corporation to file articles of amendment to provide for the consolidation of the issued and outstanding Common Shares of the Corporation on the basis of one (1) post-consolidation Common Share for every two (2) pre-consolidation Common Shares (the "Consolidation"), The Share Consolidation Resolution must be passed by a majority of not less than two-thirds of the votes cast by the shareholders who vote in respect of the resolution. The Consolidation is subject to TSX Venture Exchange acceptance. The Corporation currently has 1,756,700 issued and outstanding Common Shares. There will be no change to the Corporation''s name in conjunction with the Consolidation.
