CHC Realty Capital Corp. Announces Results of Shareholders Meeting
(firmenpresse) - TORONTO, ONTARIO -- (Marketwired) -- 10/10/14 -- CHC Realty Capital Corp. ("CHC" or the "Company") (TSX VENTURE: CHC) is pleased to announce that Gordon Pridham, Louis Forbes, Philip Gillin and Ronald Schwarz were elected to the Company''s Board of Directors, together with Craig Smith, an existing director of the Company, at the annual and special meeting of CHC''s shareholders held on October 9, 2014. Mr. Pridham will serve as Chairman of the Board of Directors.
At the meeting, shareholders also approved the Company''s stock option plan and an amendment to the articles of incorporation of the Company so that it will be able to qualify as a "mutual fund corporation" as defined in the Income Tax Act (Canada) and the regulations thereunder. In particular, the amendment will add retraction rights to the share conditions attaching to the common shares of the Company, which is one of the conditions for CHC to qualify as a mutual fund corporation. Details regarding the stock option plan and the articles of amendment are set out in the Company''s management information circular dated September 10, 2014 and delivered to CHC''s shareholders in connection with the meeting. The shareholders of the Company who voted at the meeting voted 100% in favour of all of the matters of business at the meeting.
The Company will advise as to when the articles of amendment will become effective. The articles of amendment are subject to final approval by the TSX Venture Exchange.
The election of Messrs. Pridham, Forbes, Gillin and Schwarz to the Company''s Board of Directors is subject to approval by the TSX Venture Exchange.
