First National AlarmCap Income Fund Announces Wind-Up and Final Distribution
(firmenpresse) - EDMONTON, ALBERTA -- (Marketwired) -- 09/06/13 -- First National AlarmCap Income Fund (the "Fund") is pleased to announce that it has finalized arrangements for the wind-up of the affairs of the Fund as previously approved by the unitholders.
In connection with the wind-up of the affairs of the Fund, the Fund has made provision for the payment and discharge of all of its remaining liabilities. The remaining assets of the Fund shall be paid to its unitholders, resulting in a final cash distribution (the "Final Distribution") of $0.74 per Class A Trust Unit of the Fund (the "Units"). This Final Distribution will be treated as a return of capital and will be paid to unitholders of record as at the close of business on September 12, 2013 (the "Record Date"). Unitholders are encouraged to consult their tax advisors as to the tax treatment of the Final Distribution. In addition, the register of unitholders of the Fund will be closed for transfer on the Record Date, and thereafter unitholders will not be entitled to sell or transfer their Units.
In order to collect the Final Distribution, registered unitholders will be required to surrender for cancellation their certificate(s) representing outstanding Units to Equity Financial Trust Company, who has been appointed to act as depositary for the Units. As soon as practicable after the Record Date, the Fund will cause to be mailed to all of its registered unitholders a letter of transmittal and a notice which will contain instructions as to the procedure to be followed to surrender Units for cancellation and to receive the Final Distribution on or after September 20, 2013 (the "Surrender Date"). The Fund intends to apply to the applicable securities regulatory authorities to cease to be a reporting issuer under applicable securities laws, as soon as reasonably practicable after the Surrender Date.
Any certificates which have not been surrendered within 18 months of the Surrender Date shall be deemed to be cancelled, provided that holders of such cancelled Units shall retain their right to receive the Final Distribution.
