Resources Ltd. ("WHY") Prior to such acquisition, Mr. Marasco and his family, directly and indirectly, owned and controlled 24,708,144 Common Shares of WHY and now hold 24,709,144 Common Shares, which represents 52% of issued and outstanding Common Shares of WHY. The securities acquired by Mr. Marasco are held for investment purposes. In the future, Mr. Marasco and his family may increase or decrease their ownership of securities of WHY from time to time depending upon the business and future market conditions.
