Difference Capital Financial Inc. Acquires Additional Shares in Lignol Energy Corporation
(firmenpresse) - TORONTO, ONTARIO -- (Marketwired) -- 08/09/13 -- Difference Capital Financial Inc. (TSX VENTURE: DCF) ("DCF") has acquired an additional stake in Lignol Energy Corporation ("Lignol"), a leading technology company in the advanced biofuels and renewable chemicals sector.
On August 8, 2013, DCF purchased, through the TSX Venture Exchange, 5,500,000 common shares ("Lignol Shares") of Lignol in a single transaction at a price of $0.13 per Lignol Share (the "Transaction"). The Lignol Shares acquired by DCF represent an aggregate of approximately 3.6% of the current issued and outstanding Lignol Shares. DCF relied upon the exemption under Section 100.1 of the Ontario Securities Act to make this purchase.
Immediately following the completion of the Transaction, DCF owned and controlled 57,998,001 Lignol Shares on a fully diluted basis, representing approximately 33.9% of the total outstanding Lignol Shares on a partially diluted basis assuming the exercise of only DCF's securities.
The Transaction was made through the facilities of the TSX Venture Exchange. DCF acquired the Lignol Shares for investment purposes only. However, DCF may in the future take such actions in respect of its holdings as deemed appropriate in light of the circumstances then existing, including the purchase of additional Lignol Shares or other securities of Lignol through open market purchases or privately negotiated transactions, or the sale of all or a portion of its holdings in the open market or in privately negotiated transactions to one or more purchasers.
