About the Lawsuit
Polycom and certain of its executives are charged with issuing a series of materially false and misleading statements during the Class Period, in violation of federal securities laws.
These false statements and omissions included, in part, that: (a) Polycom's CEO had been submitting inappropriate and irregular expense submissions, violating Polycom's code of conduct; (b) Polycom did not have effective internal controls over their business operations; (c) the CEO's improper conduct created a risk that he would be terminated, jeopardizing the Company's future success; and (d) as a result, the Company's financial statements were materially false and misleading. On July 23, 2013, the Company announced that its CEO had resigned after the board identified "irregularities" in his expense submissions. Polycom's stock then dropped over 15%.
