Regulated information - Ageas receives shareholder support in Utrecht for simplification of legal structure

On 29 March 2012, Ageas proposed new steps in the simplification of its legal
structure.
The Extraordinary General Meeting of Shareholders of ageas N.V. in Utrecht has
today approved all the proposals submitted by the Board of Directors.
The Meeting has approved the merger of ageas SA/NV and ageas N.V. and all other
agenda points.

30.74% of the share capital was represented in Utrecht.
Ageas confirms that the two conditions of the merger set out in the press
releases of 29 March and 16 May 2012 have been met. Subject to the approval of
the Extraordinary General Meeting of Shareholders of ageas SA/NV in Brussels
tomorrow and the acknowledgement of the Board of Directors on 3 August, the
merger will come into effect on 7 August 2012. From an accounting perspective,
the transaction will apply retrospectively as from 1 July.
