Distinction Group Inc. Announces Results of Special Shareholder Meeting
(firmenpresse) - MONTREAL, QUEBEC, CANADA -- (Marketwire) -- 12/28/11 -- Distinction Group Inc. ("GDI" or the "Corporation") (TSX: GD), a Canadian leader in the facility services industry, announced that, at its special meeting of shareholders held earlier today in Montreal, shareholders overwhelmingly approved the previously announced going private transaction involving Birch Hill Equity Partners and certain members of GDI's senior management.
More than 99.9 per cent of votes cast were in favour of the transaction, including the requisite majority of the shares held by minority shareholders. Details of the voting results will be filed on SEDAR ().
GDI intends to file shortly articles of amalgamation to become effective on January 1, 2012. Upon the amalgamation, shareholders of GDI (other than certain members of senior management) will receive, for each GDI common share held by them, one redeemable preferred share of the amalgamated entity. As soon as practicable following the amalgamation, each such redeemable preferred share will be redeemed for $4.50 in cash.
Upon completion of the transaction, GDI will continue to be led by Mr. Claude Bigras, as President and CEO, and by the existing GDI management team. GDI shall also continue to be headquartered in Montreal and to operate under the name Distinction Group Inc.
Shortly after the effective date of the amalgamation, GDI's common shares will be delisted from the Toronto Stock Exchange and applications will be filed for GDI to cease to be a reporting issuer under Canadian securities laws.
