Proxy Firms Weigh In On Upcoming Unitech Corporate Parks Meetings
Leading Proxy Firms ISS and Glass Lewis Back Shareholder Candidate,
Other Changes
The shareholders who requisitioned an
upcoming Extraordinary General Meeting of Unitech Corporate Parks PLC
have been informed that both ISS and Glass Lewis have recommended votes
FOR Board Candidate Sanjay Pandit, and FOR a resolution removing
incumbent director Mohammad Khan.
Additionally, ISS recommends AGAINST re-election of all of the
incumbent directors except one who was appointed earlier this year,
while Glass Lewis endorsed a shareholder-sponsored change in the
Company's Articles of Association.
The matters will all be considered at Annual and Extraordinary General
Meetings to be held on 21 October, 2011. "Sanjay Pandit is financially
astute, knowledgeable about India and
adamant that UCP should realize its full potential. He will be a great
addition to the Company's Board." said Peter Collery, President of SC
Fund Management LLC, investment manager to one of the requisitioning
shareholders. "I welcome the support given to my candidacy by both ISS and
Glass
Lewis in their recent reports," said Sanjay Pandit. "UCP has
tremendous unrealized potential. If elected, I'll work with fellow
Board members to set a new tone in governance and seek a constructive
relationship with Unitech while putting UCP's interests first. Most
important, I'll focus on maximizing realizable NAV per share over the
long-term."
