Willkie advises Commerzbank and Morgan Stanley on the EUR 47 million
capital increase of DIC Asset AG
DIC Asset AG, Frankfurt am Main, increased its share capital by offering
7,837,499 new shares by way of a rights issue to existing shareholders
only. The new shares were offered to the existing shareholders during the
subscription period from March 15 to March 29, 2010 at a price of EUR 6.00
per share. Of the principal shareholders, DIC - Deutsche Immobilien
Chancen-Group (Deutsche Immobilien Chancen AG&Co. KGaA and subsidiaries),
Frankfurt/Main, and solvia Vermögensverwaltungs GmbH, Wolfenbüttel, had
agreed in advance to exercise all their respective subscription rights and
to subscribe to a total of 3,486,287 new shares at the issue price.
The new shares have been admitted to trading on the Regulated Market of the
Frankfurt Stock Exchange (Prime Standard).
The Willkie team, led by Prof. Dr. Michael Schlitt (capital markets,
Frankfurt) and Jon Lyman (U.S. law, London), which advised in particular on
the U.S. legal aspects, included Chris Peters (U.S. tax law, New York) and
Dr. Susanne Schäfer (capital markets, Frankfurt). Additional assistancewas
provided by Danielle Scalzo (U.S. law, London) and Dr. Thorsten Becker and
Dr. Roman Kasten (capital markets, Frankfurt).
Dr. Bernd Singhof and Ingo Nebel served as in-house legal counsel for
Commerzbank and Dr. Christoph Wolf as in-house legal counsel for Morgan
Stanley, who were in the lead on the German legal aspects.
