Prospectus in connection with the listing of new shares on Oslo Børs

Reference is made to the press releases of 16 and 17 February 2010 regarding the
completed Private Placement in Songa Offshore SE ("Songa Offshore" or the
"Company"). Songa Offshore has prepared a prospectus dated 23 March 2010 (the
"Prospectus") in connection with the listing of 20,500,000 new shares on the
Oslo Børs stock exchange, each with a nominal value of Euro 0.11, placed in a
Private Placement on 16 February 2010 at a subscription price of NOK 29 per
share, raising total gross proceeds of NOK 594.5 million.
The 20,500,000 shares issued in the Private Placement have since their issuance
been registered on a separate ISIN. From and including tomorrow, 24 March 2010,
these shares will be registered under the ordinary ISIN number of the Shares in
the Company, being ISIN CY 010 0962113 and will be fully tradable on the Oslo
Børs stock exchange.

A printed form of the Prospectus may be obtained at the Company's offices in 25
