The voluntary public exchange offer by Heliad Equity Partners GmbH&Co.
KGaA (ISIN: DE000A0L1NN5 / WKN: 'A0L1NN Heliad') to the shareholders of TIG
Themis Industries Group GmbH and Co. KGaA (ISIN: DE000A0XYL04, 'TIG') has
been successfully concluded. By the end of the offer period, Heliad was
tendered a total of 861,963 additional TIG shares.
On completion of the technical execution of the transaction planned for
calendar week 15, Heliad will hold a total of 4,814,661 shares in TIG,
corresponding to 90.3% of TIG's equity.
A resolution on the merger of TIG with Heliad is planned for the annual
general meetings of both companies scheduled for 13 July 2010 (Heliad) and
14 July 2010 (TIG) respectively.
