(Thomson Reuters ONE) - This statement is made by the Board of Directors (the "Board") ofBjørge ASA (the "Company") pursuant to Sections 6-16 and 6-19 of theNorwegian Securities Trading Act of 29 June 2007 in connection withthe mandatory offer by Bokn Invest AS, company registration number894 300 892 (the "Offeror").The Offeror is, at the time of the offer, owned by Aker Capital FundAS and HV V Invest Delta AS, which is controlled by the privateequity fund HitecVision V LP. Aker Capital Fund AS is an investmentfund managed by Converto Capital Management AS. Prior to completionof the voluntary offer, Aker Capital Fund AS was the Company`slargest shareholder with an ownership interest of approximately 39.9per cent.As of the day prior to the mandatory offer, 2 December 2009, BoknInvest AS owned 33,570,601 shares in the Company, representing 76.43per cent of the shares in the Company.Prior to the mandatory offer, on 28 September 2009, the Offerorannounced its intention to put forward an offer to purchase alloutstanding shares in the Company. The Offeror thereafter put forwarda voluntary offer to purchase all outstanding shares in the Companyon 14 October 2009. On completion of the voluntary offer, the Offerorhad acquired ownership of 33,494,601 shares.
