(Thomson Reuters ONE) - ProVen Growth and Income VCT plcResults of "C" Share Tender Offer7 July 2009ProVen Growth and Income VCT plc ("the Company") announces thatapplications to tender 6,486,320 "C" Shares were received under theTender Offer dated 9 June 2009. Subject to the passing of a specialresolution to be proposed at the Annual General Meeting of theCompany on 7 July 2009, the Company will acquire 5,079,999 "C" Sharesat 75.35p per "C" Share. "C" Shareholders who tendered up to 20.438%of their holding of "C" Shares (the "Basic Entitlement") will havetheir application satisfied in full. "C" Shares tendered in excess ofthe Basic Entitlement will be scaled back such that tenders forapproximately 68.5% of "C" Shares" in excess of the Basic Entitlementwill be accepted.C" Shareholders will receive notification of the number of "C" Sharesfor which their tender was accepted, the cash proceeds from theTender Offer and a new share certificate, or a credit to theappropriate CREST account, if applicable, for unsuccessfully tendered"C" Shares, in due course.---END OF MESSAGE---This announcement was originally distributed by Hugin.
